Terms of Service

These Terms of Service ("Terms") explain the rules for using gabondigital.com and the services of Gabon Digital ("Gabon Digital", "we", "us"), a Toronto, Ontario business. Using our website, submitting a form or buying a service means you agree to these Terms. We've written them in plain language. If anything is unclear, email [email protected].

1. Who we are

Gabon Digital is an AI-powered digital services agency in Toronto, Ontario. We provide marketing, content, website and automation services, and a marketing and lead-matching platform for real estate professionals. We work by email.

2. We are not a real estate brokerage

Gabon Digital is a marketing and lead-generation service, not a real estate brokerage, salesperson or broker. We are not registered with the Real Estate Council of Ontario (RECO) or any other real estate regulator. We do not:

  • trade in real estate, or represent buyers, sellers, landlords or tenants;
  • give real estate, legal, mortgage, tax or investment advice;
  • show properties, negotiate, prepare or present offers, or handle agreements or transaction documents;
  • hold deposits or trust money; or
  • charge or receive any fee, commission or referral fee that depends on a trade or a closing.

All showings, offers, representation agreements and transaction paperwork are handled by licensed realtors through their own registered brokerage, under the rules that apply to them, including Ontario's Trust in Real Estate Services Act, 2002 (TRESA).

3. Digital services

For our general services (such as social media, websites, SEO, ads and email marketing), we confirm the scope, price and timeline in writing by email before work starts. Nothing is published until you approve it. Once an invoice is paid, the deliverables we created for you belong to you, but not third-party materials, fonts, stock media or software, which stay under their own licences.

4. Realtor subscriptions

4.1 Eligibility

Subscriptions are only for real estate salespersons and brokers registered with RECO, or with their own province's regulator outside Ontario, and for registered brokerages. You must keep your registration in good standing. We may check your registration on the public register and refuse or end a subscription if we can't verify it, or if it lapses or is suspended.

4.2 What the subscription includes

Each plan includes the marketing services described on our For Realtors page for the plan you choose: listing descriptions, social posts, email blasts and ad copy, plus introductions to buyers who asked to be matched (buyer leads) in your chosen service areas. Plan limits, such as the number of listings or areas, apply per monthly billing period.

4.3 Flat fee, never contingent

Subscriptions are a flat monthly fee for marketing and lead-generation services. The fee is the same whether or not a lead turns into a client, a showing, an offer or a closed deal. We never charge a commission, a referral fee or a percentage of any transaction, and you must not offer us one.

4.4 No guarantee of leads or results

We don't guarantee how many buyer leads you'll receive, their quality, whether any lead becomes a client, or any sale, price or time on market. Lead volume depends on buyer demand in your areas. A lead is only an introduction: you're responsible for checking it, contacting it lawfully and deciding whether to work with that person.

4.5 Your responsibilities

  • You approve every piece of marketing before it's used, and you're responsible for its accuracy, including listing facts, measurements, prices and claims.
  • You make sure your advertising follows TRESA, RECO's rules (for example, showing your brokerage's name clearly), your brokerage's policies, and Canada's anti-spam law (CASL).
  • You must have the right to use any photos, floor plans or materials you send us, along with the seller's permission to market the property.
  • You handle buyer leads according to privacy law, and only use them to help that person with their property search.

4.6 Billing, HST and cancellation

Plans are billed monthly in advance, in Canadian dollars, plus 13% HST (or the sales tax that applies in your province). You can cancel anytime by replying to any of our emails or writing to [email protected] before your next billing date. Your plan stays active until the end of the period you've paid for, and you won't be billed again. Except where the law requires otherwise, fees already paid for a current period aren't refundable. You can change plans at any time, and the new price applies from your next billing date. We may change prices with at least 30 days' email notice.

4.7 Suspension

We may pause or end a subscription if payment fails, if your registration can't be verified, or if you misuse leads or break these Terms.

5. Buyers and the matching service

Our buyer matching is free. When you submit the Find a Property form and give your consent, we share your request with a licensed realtor whose areas and price range fit it, and we may email you about it. We don't represent you or give advice. Any decision to work with a realtor, and any agreement you sign, is between you and that realtor and their brokerage. We check a realtor's registration before matching, but we're not responsible for the services the realtor or brokerage provides. See our Privacy Policy for how we handle your information.

6. Payments, taxes and cancellation (general services)

Prices are in CAD and don't include HST unless stated. Monthly service plans are month-to-month, and you can cancel before your next billing date. One-time projects are quoted and paid per project. Third-party costs such as ad spend, domains or software are billed separately, at cost.

7. Your content and approvals

You keep ownership of the content you send us. You give us permission to use it only to provide our services to you. AI-assisted drafts can contain mistakes, so please review everything before you approve it.

8. Acceptable use

Don't use our website or services for anything unlawful, misleading or discriminatory, including discrimination prohibited by the Ontario Human Rights Code. Don't use them to send spam, or to submit false information or someone else's personal information without their permission.

9. No guarantees

We provide our services with care, but we don't guarantee any particular result, such as rankings, followers, leads, sales or prices. To the extent the law allows, our website and services are provided "as is".

10. Limitation of liability

To the extent the law allows, we aren't liable for any indirect or consequential loss, or for lost profits or lost deals, and our total liability for any claim is limited to the fees you paid us in the 3 months before the claim. Nothing in these Terms limits any rights you have that can't legally be limited.

11. Changes

We may update these Terms. When we do, we'll post the new version here with a new "Last updated" date, and we'll email active subscribers about any important change.

12. Governing law and contact
